CONSULTING SERVICES 2012

A limited amount of Consulting Time is available for contract for Calendar Year 2012.

A MAXIMUM of 500 Hours has been allocated for consulting services.

1. CONS111: CONSULTING EVALUATION

Consulting services are available in a variety of packages, however availability of consulting hours is limited.
A pre-contract consultation, not exceeding 1 hour, to determine scope and applicability of consulting, is available to new customers only.
There is no charge for this service.

2. CONS112x: 250 Hours, Calendar 2012.

A total of up to 250 Hours of Consulting services, calculated in 1 hour increments.
Time must be used in Calendar Year 2012.

Payment in advance, either lump sum or monthly.
No refund of unused consulting time.

Rates:

CONS1021 Option 1: Lump Sum $250/hour, Total US$62,500
CONS1022 Option 2: Five Equal Payments, $275/hour, [0, 30, 60, 90, 120 days] US$13,750ea.

3. CONS113x: 100 Hours, Calendar 2012.

A total of up to 100 Hours of Consulting services, calculated in 1 hour increments.
Time must be used in Calendar Year 2012.

Payment in advance, either lump sum or monthly.
No refund of unused consulting time.

Rates:

CONS1031 Option 1: Lump Sum $325/hour, Total US$32,500
CONS1032 Option 2: Four Equal Payments, $375/hour, [0, 30, 60, 90 days] US$9,375ea.

4. CONS114x: 50 Hours, Calendar 2012

A total of up to 50 Hours of Consulting services, calculated in 1 hour increments.
Time must be used in Calendar Year 2012.

Payment in advance, either lump sum or monthly.
No refund of unused consulting time.

Rates:

CONS1041 Option 1: Lump Sum $450/hour, Total US$22,500
CONS1042 Option 2: Three Equal Payments, $480/hour, [0, 30, 60 days] US$8,000ea

5. CONS115x: 25 Hours, Calendar 2012.

A total of up to 25 Hours of Consulting services, calculated in 1 hour increments.
Time must be used in Calendar Year 2012.

Payment in advance, either lump sum or monthly.
No refund of unused consulting time.

Rates:

CONS1151 Option 1: Lump Sum $500/hour, Total US$12,500
CONS1152 Option 2: Two Equal Payments, $550/hour, [0, 30days] US$6,875ea.

6. CONS116x: AdHoc Consulting Hours, Calendar 2012.

Ad Hoc Consulting available in 1, 2 and 4 Hours of Consulting services, calculated in 15 minute increments.
Time must be used in Calendar Year 2012.

Payment in advance.
No refund of unused consulting time.

Rates:

CONS1161 Option 1: Lump Sum $300/15minutes, Minimum 4 hours, Total US$4800
CONS1162 Option 2: Lump Sum $400/15minutes, Minimum 2 hours, Total US$3200
CONS1163 Option 3: Lump Sum $500/15minutes, Minimum 1 hour, Total US$2000

7. CONS1xx: DEPOSITS

Consulting Service payments MUST be made in advance according to the schedule listed for each service.
All payments can be made using On-Line Billing Services.

There are NO CREDIT TERMS for Consulting Services.

If multiple payment options are chosen, the next payment become due immediately if pro-rated contract hours have been exhausted.

8. CONS191: TERMS.

Billing is issued prior to commencement of work and is in the amount of the specified hours.
Payment must be received in the specified bank account prior to any work being commenced, unless otherwise specifically agreed.
When the billable hours have been exhausted, a new invoice will be issued to cover the next increment of time and payment must be received prior to commencement of additional work.
All billing is in US Dollars and all payments must be sent to the specified bank account.  Any remitting charges, of whatever origin, must be prepaid and not deducted from the invoice amount.

9. CONS192: VARIATION OF SCOPE AND TERMS.

The pricing quoted is valid as of 1 January 2012.
Any price changes will be effective on new contracts only. Existing contracts will not be affected.
Any price changes will become effective with a minimum of 90 days notice.

Changes of terms and conditions [excluding prices] may be made at any time with minimum of 30 days notice.
A customer may terminate a contract without penalty in the event that there is no agreement to the change of terms, or optionally may agree to continue the contract with the pre-existing terms until contract expires.
In the event a contract is cancelled because of changes in terms and conditions, a new contract cannot be accepted until the original expiry date of the prior contract.

In the event of early contract termination, there will be no credit for any pre-paid fees or billing.
